Foundation and association
There is a wide variety of associations and foundations in the Netherlands: from a local sports or hobby club to large national organizations, from family foundations to large hospitals and housing associations.
Establishing a foundation or association
A foundation must be established by notarial deed. There are no formal requirements for the establishment of an association. However, an association that is registered in the trade register and whose bylaws are included in a notarial deed does have a number of advantages. These include limited liability of board members for debts of the association.
Foundation
A foundation must be established by notarized deed. This can be done with a deed of incorporation or through a will. A foundation is a legal person and possesses full legal capacity and is an independent bearer of rights and duties, just like a natural person.
Association
You can establish an association by private deed and by notarization. So it is not necessary to go to the notary, but recommended in many cases.
Types of associations
There are two types of associations, namely:
- the association with full legal capacity,
- the association with limited legal capacity.
It is important to carefully consider what type of association you want to set up. Before you make a choice, it is wise to read up on or educate yourself so that you know the advantages and disadvantages of the different types of associations.
