(Legal) merger
A legal merger is a complete amalgamation of legal entities. This can be done by establishing a new acquiring legal entity into which the merging legal entities merge. Or by merging the disappearing legal entities into an already existing acquiring legal entity.
What happens during a merger
In a merger, the entire assets of the disappearing legal entities are transferred to the acquiring legal entity and the former cease to exist. This has the great advantage that the various assets do not have to be transferred separately. Moreover, the cooperation of creditors and contract partners is not required.

Legal procedure

A legal merger is not possible if one of the merging legal entities has been dissolved or is in bankruptcy or receivership.
