What is a cooperative?
A cooperative is a special association that enters into agreements with and for its members. It represents certain common business interests of its members, such as purchasing or advertising. For example, consider a cooperative of farmers who purchase agricultural machinery for joint use.
The cooperative
The cooperative is of the members and for the members, with the goal of achieving economic benefit. This does not have to be just making a profit, but can also consist of saving costs or gaining another advantage such as the possibility of generating renewable energy. Today, the cooperative is also used for many other initiatives, such as self-employed workers uniting for the purpose of procurement rules or cooperatives for (citizen) investments in, for example, wind farms or other forms of renewable energy.
Financial responsibility
The cooperative is a legal entity and thus is itself liable for its actions. As with the BV and NV, members are liable up to the amount of their investment. Arrangements can also be made with the cooperative whereby any loss or liability is borne in part by the members.
How do I set up a cooperative?
A cooperative must be established by a minimum of two people and registered in the Trade Register. Notarization is mandatory. The notary records the statutes of the cooperative in a deed of incorporation.
