When some legal entities are formed, the initial articles of incorporation are laid down in the deed of incorporation. These statutes describe important matters, such as, for example, the name and purpose of the legal entity, the share capital (in the case of a limited liability company) and the method of appointment of directors.
Amendment of the articles of association
One may wish to amend these initial bylaws at a later date. Before statutes can be amended, a resolution to amend the statutes must first be passed. This decision can only be made by the competent body. In the case of the Private Limited Company (BV), for example, this is the general meeting of shareholders, in the case of an association the general meeting of members and in the case of a foundation the board of the foundation. To amend the articles of association of a legal entity, a notarial deed must always be drawn up.

Amend bylaws with a power of attorney
It is possible to have the deed of amendment of articles of association signed by only one person instead of the entire board or all representatives. The deed of amendment of articles of association can be signed by a board member of the legal entity or by one of our employees. The signing is then done by power of attorney. The person who comes to sign the deed is then designated by the competent body as a proxy to sign the deed of amendment to the articles of association.
